TPG Is Exploring a $5B Sale of Lyric. Payment Integrity Is Getting an AI Valuation Test.
TPG is exploring a sale of Lyric at roughly $5 billion. At about $250 million of annual EBITDA, the process could become a high-profile test of how buyers value proprietary claims data, payer workflow integration and AI exposure.
TPG is exploring a sale of healthcare payment-integrity company Lyric that could value the business at roughly $5 billion, according to Reuters. JPMorgan is advising on the potential process, although a transaction is not guaranteed.
The headline valuation is notable. The more interesting number may be underneath it: Reuters reports Lyric generates approximately $250 million in annual EBITDA, implying a potential valuation near 20x EBITDA.
RCAI View: Lyric could become an unusually useful test of whether scaled healthcare software with proprietary claims data and measurable financial ROI receives an AI premium or an AI discount.
Payment integrity sits in an attractive part of the claims stack
Lyric helps insurers identify and prevent inaccurate medical claim payments. That puts the company directly in one of the most economically consequential parts of healthcare administration: determining what should — and should not — get paid.
TPG acquired ClaimsXten for about $2.2 billion in 2022 and rebranded it as Lyric in 2023. A $5 billion outcome would represent a substantial increase in enterprise value during TPG's ownership.
AI cuts both ways
Lyric's large claims datasets and embedded payer workflows can make AI more powerful. But prospective software buyers also have to ask whether AI-native competitors can replicate pieces of the workflow at materially lower cost.
That is the valuation debate happening across the RCM and healthcare administration software market: does AI compound the moat, or compress it?
RCAI Take
If buyers support something close to a 20x EBITDA valuation, it would suggest sophisticated investors still place substantial value on scaled healthcare software when it combines proprietary data, deep workflow integration, payer distribution and direct financial ROI.
