Sagility to Acquire Chirok Health for Up to $32.35 Million
Sagility has agreed to acquire Tennessee-based Chirok Health, a provider of clinical documentation integrity, medical coding, revenue cycle management and revenue optimization services.
What happened
The agreement includes $20 million upfront and up to $12.35 million in contingent consideration. Chirok reported revenue of $9 million in 2025, versus $8.2 million in 2024 and $12.7 million in 2023. That implies roughly 2.2 times 2025 revenue upfront and 3.6 times at maximum consideration.
Why it matters
The transaction demonstrates strategic interest in specialized RCM capabilities. Revenue variability makes customer retention, earnings quality and concentration essential diligence questions. EBITDA was not disclosed, so these revenue multiples should not be treated as a small-company EBITDA benchmark.
